2. Client Responsibilities

3. Payment Terms

1. Non‑refundable advance (30–50%) to initiate project
2. Remaining payments tied to project stages
3. Late payments may delay delivery or suspension
4. Quotes are exclusive of applicable taxes

4. Intellectual Property

1. We retain ownership of all code and design until full payment
2. Upon full payment, ownership transfer unless contract states otherwise

9. Limitation of Liability

1. Not liable for downtime due to hosting issues
2. Not liable for improper third-party modifications
3. Not liable for delays caused by incomplete client input

10. Termination

1. Either party may terminate with written notice
2. Client pays for work completed up to termination date
